THE BCL CLOSURE

For 40 years BCL Mine kept Selebi-Phikwe alive. By October 2016 it was dead. The closure didn’t happen overnight. It was the end of a 5-year fight against geology, prices, and empty pockets.

The Closure

BCL was never meant to last past 2013. That was the end of its original Life-of-Mine plan.

In 2011, ahead of that deadline, the then Minister of Mineral Resources asked the Board to find a way to keep it running. The result was the Polaris II Strategy in 2012-2013 — a full government-backed plan to leverage BCL’s smelter and 40 years of mining expertise.

The Board extended the mine life to 2021 based on a forecast nickel price of $9/lb nickel per many international metal price forecast organ i sations . That price never came. Instead, from early 2015 nickel collapsed by 60 percent lead ing to many nickel mines world - wide making losses .

The timing was brutal. BCL had just committed to two big strategic decisions : buying the Nkomati Mine and Tati Nickel mines to feed its smelter with new, cheaper concentrates. Funding was lined up with A BSA and Nedbank, then later a US$250 million Barclays Medium Term Note supported by by government of Botswana as shareholder of BCL .

By Q4 2015 to Q2 2016, BCL was Not Profitable

BCL Management’s $4/lb Plan, which was to close most underground shafts , retrench 1,800 people, speed up Selkirk, and keep the smelter running, was delayed waiting on shareholder funding.

In October 2016, Government put BCL into provisional liquidation.

Why BCL Challenges were Historical and Structural

BCL’s problems were structural.

It had an average grade of just 0.65 percent nickel, mined deeper than 1,000m. The mines were hot, old, and had no equivalent anywhere.

BCL was supposed to fund itself from operations. When nickel prices fell, the business was not profitable in the short term. The smelter hadn’t been overhauled in 11 years , a legacy challenge preceding the Polaris Strategy and needed a P750 million refurbishment.

The $9/lb nickel price assumption in the 2021 plan never materialised. At $4.32/lb in 2015, Wood Mackenzie said 60 percent of global nickel mines were losing money. BCL was among them. Mines in Brazil, Australia, Canada, Vietnam and Spain closed in the same period. BCL produced 12,000 tons per annum, and was the historical lowest grade of them all , indicating a low operating cost .

Management’s Proposed Solution

Management and the Board recommended that the mine not be closed. Their plan was to transform BCL into a r egional metallurgical hub.

The Polaris Strategy

The plan was to acquire the Nkomati and fast-track Selkirk at Tati. Together they would supply 80 percent of the smelter’s concentrates and allow the deep, historically loss-making BCL shafts to close in an orderly way.

BCL’s Outotec flash furnace could process 900,000 tons/year, the largest of its kind and one of the lowest cost smelters globally. Refurbishing it was critical to avoid catastrophic failure.

Further, our sources in dicate that Management and the Board wanted to position BCL to process copper and iron for other miners in the region. The planned facilities would today process the copper from Khoemacau and Sandfire.

This was supposed to have been funded through a $250 million government-guaran teed bond to cover the transition period of weak cash flows.

The idea was to endure 18 months of low nickel prices, then continue on new, profitable ore s .

Government’s Reaction

Government bought into the plan for years. It approved the Nkomati and Tati acquisitions through Cabinet and the Ministries of Finance and Minerals. It signed letters to guarantee the $250million Barclays (Now Absa) funding.

But when the outstanding conditions on the Nkomati deal delayed and nickel kept falling,the funding had to be restructured.

Government view changed suddenly to liquidate BCL . Liquidation was framed as the fiscally responsible option on a 10-year view.

Was It A Good Decision Then?

But the human cost was immediate: 1,800 jobs lost, and a town built around the mine thrown into crisis. The strategic cost was also real — Botswana lost its only nickel smelter and the chance to be a regional processing hub.

Inside The Bcl "Strip And Sell" Grand Plan

Is government quietly giving up on reopening Selebi-Ph ikwe’s lifeline?

The announcement by the then Minister of Mineral Resources, Green Technology and Energy Security Lefoko Moagi that government may consider “stripping and selling off” BCL assets reignited long-held fears: that there is simply no political will to reopen the mine that was once the lifeblood of the SPEDU region.

When updating Parliament on the BCL liquidation at the time, Moagi said that if the preferred bidder does not make a firm offer for BCL within six months, the liquidator will decide the next steps, “including stripping off the assets for sale.”

If the assets of BCL were preserved under a care maintenance instead of a strip and sell more value would be derived from them now.

The Ghost Of Dixon-Warren

Those words brought back memori es of Nigel Dixon-Warren, the ousted BCL liquidator who, as far back as 2017, pushed for permanent liquidation.

Dixon-Warren repeatedly dismissed any chance of reopening, insisting the mine was “fatally insolvent.”

“In my view, it is in the best interest of all creditors that the company is finally wound up and the liquidation process followed to its conclusion,” he told journalists in 2017.

He would later fall out with government after pocketing over P65 million in fees at P2.2 million per month. By the time he left, government had pumped well over P1 billion into the liquidation process.

He was clearly wrong as the nickel prices recovered and the BCL business would be profitable over the next 10 years

Enter Glaum And The Shadow Bid

After Dixon-Warren came Trevor Glaum of Sanek Trust Recovery Services, a Cape Town insolvency firm founded in the 1970s. Sanek is short for Suid Afrikaanse Nasionale Eksekuteurskamer.

Little is known about Glaum or how Sanek landed the BCL job. Unlike his predecessor, Glaum has never addressed the media. Almost all communication has come from the Minister and the Master of the High Court.

Yet from the shadows, Glaum’s decisions have sparked both controversy and consternation.

In February this year, Glaum wrote to BCL care-and-maintenance employees informing them that Canadian junior miner Premium Nickel Resources Corporation (PNR) had been selected as the preferred bidder. PNR was granted exclusive access for six months to conduct due diligence.

The anno uncement shocked the mining world. Pundits asked how an inexperienced junior with limited capital had out-competed well-funded, experienced rivals.

Who Is P NR?

In 2019, North American Nickel (NAN) became a founding shareholder in PNR to pursue southern Af rica opportunities.

In its investor presentation, NAN said PNR was working with CIBC World Markets to raise $26.5 million, with $2.5 million earmarked for the six-month BCL due diligence.

On April 20th, NAN announced it had raised $1.9 million through a private placement, part of which would go to PNR.

Critics argue PNR’s capital position made it incapable of running a P4 billion project like BCL.

They also questioned why it was picked as preferred bidder without having done due diligence, while other bidders reportedly had and were ready to make firm offers.

Glaum had remained silent.

The "Strip And Sell" Theory

A school of thought now suggests the PNR selection was deliberate — part of a grand plan to frustrate any BCL reopening while quietly pushi ng a strip-and-sell agenda.

Proponents point to former Minister Moagi’s parliamentary statement: if PNR fails to make a binding offer, government will decide what to do, including selling assets and rehabilitating sites.

Pundits see no mention of engaging the second or third bidder as clear evidence there is no political will to restart BCL.

Fears are that this is a classic Botswana blunder — where personal interests overrode national interest — plunging over 5,000 people into unemployment.

The Smelter Problem

Compounding fears is PNR’s stated plan not to restart the BCL smelter, but to produce and export raw concentrates.

That is widely seen as a mockery of Botswana’s beneficiation drive.

Engineers close to the bid argued any suitor not propos ing to restart the smelter should have been automatically disqualified.

The smelter was central to BCL’s Polaris II vision, positioning Botswana as a regional industrial and metallurgical hub for nickel, copper, chrome and iron. Concentrate could be sourc ed not just from BCL shafts, but from Tati Nickel, Khoemacau, and regional operations in Zambia, Zimbabwe, Namibia and DRC. The infrastructure, power, water, rail, roads is already in place.

Why B CL Matters

The stakes could not be higher.

BCL contributed P 2.5 billion annually to national coffers — 4 percent of GDP.

It paid P867 million in total annual income to households in Selebi-Phikwe and Francistown, plus an estimated P49 million to lower-income households.

It created about 10,400 direct, indirect a nd induced jobs — roughly 3 percent of total formal employment in Botswana.

QORA’S $ 356M Bid To Review BCL

On 30 June 2020, London-based Qora Limited submitted a confidential “Project Beta” indicativ e offer to buy all the assets of the liquidated BCL Group in Selebi-Phikwe. The bid, made to liquidator SANEK, was not just a purchase. It was a rescue plan that would restart one of Botswana’s most important industrial assets after a 4-year shutdown.

Four Months of Due Diligence, One Big Conclusion

Qora assembled a technical team led by mining veterans Lloyd Pengilly, Oliver Corner and Alan Clegg, with independent consultants Ukwazi. Over 4 months, including a 2-week site visit, they concluded what go vernment and the market already suspected: restarting BCL will cost far more and take far longer than first thought.

The headline numbers: US$356 million in initial capital to reach steady state, plus another US$25 million to complete a Definitive Feasibi lity Study and fund care-and-maintenance during the 6-month exclusivity period. Construction would take 18 months, with a further 6 months to ramp up.

But Qora believed it could work. Their plan was for an 11-year life of mine producing an average of 23,0 00 tonnes of nickel, 24,000 tonnes of copper, 800 tonnes of cobalt, 9,000 oz of gold and 115,000 oz of PGMs per year.

The Strategy: Integrate BCL and Tati, Fix the Smelter

The core of Project Beta was integration. Qora said BCL and Tati must operate as o ne to feed the BCL smelter a minimum of 650,000 tonnes of concentrate per year.

At BCL, the focus would be on higher-grade areas at Selebi and Selebi North underground mines, supplemented by reprocessing the slag dump — a 25Mt resource that is not yet SAM REC compliant but could act as “filler” ore. At Tati, the plan was a new low-strip Selkirk open pit as a low-cost feed source, with Phoenix pit added later.

Both the BCL concentrator and smelter need major investment. The flash furnace was last refurbishe d in 2015/16 but needed new feed dryers, converter rebuilds and control systems. Critically, Qora flagged the need for SO2 mitigation to meet World Bank standards — estimated at US$40 million for a wet gas desulphurisation plant.

The team also proposed mo dernising underground mining with contract miners, more mechanisation, and new ESG standards aligned to IFC performance standards.
